Purchases and Sales

We draft and review purchase and sale agreements for both residential and commercial transactions.  Sometimes we draft additional documents, such as promissory notes, deeds of trust, easements, height restrictions, road maintenance agreements, and, in commercial transactions, subordination agreements, tenant estoppel certificates, non-disturbance and attornment agreements, and leases.

Unfortunately, sometimes transactions fail.  We have considerable experience representing clients in breach of contract cases.

HOMEOWNERS ASSOCIATIONS AND CONDOMINIUMS

4 - Condominiums & Homeowners Associations RF

We draft and amend condominium documents and neighborhood covenants, bylaws, and rules. We assist owners' associations in collecting unpaid assessments.

We represent both associations and individual owners when they disagree. In some cases we have helped our client enforce covenants and restrictions; in others, we have defended against inappropriate enforcement claims. We have experience with the particular problems associated with mixed-use condominiums.

We can represent you when disagreements over property boundaries arise. A variety of legal principles may apply in these situations, such as "adverse possession," under which a person can sometimes acquire permanent property rights by possessing property for ten years or more. We can help you navigate through the process of resolving these issues.

We represent general contractors, subcontractors, engineers, architects, and property owners in all aspects of construction law. We can draft and review construction contracts and contracts for design services. Additionally, we handle litigation involving construction matters, including lien foreclosures and disputes between owners and contractors over payment or defective work.

They say "you can't fight city hall."  That is often true--but not always.  When your application for a permit to develop real estate runs into obstacles, we can help clear the path for you.  We also represent persons opposing development that does not meet the legal standards.

FOR SALE BY OWNER

We are an excellent resource for sellers who would like to sell their property without the assistance of a real estate agent. (These transactions are known as FSBOs, often pronounced “fizzbows.”) We can give advice about the legal implications of a purchase offer and prepare the purchase and sale agreement as well as any seller financing documents. Essentially, our firm has the ability and experience to provide you with all of the legal services you need to accomplish a FSBO transaction.
